These Vendor Terms & Conditions apply to all sellers, shops, restaurants, wholesalers, businesses, and other approved vendors using JubaSquare to list and sell products or services.
By registering as a vendor, accepting an order, listing products, or using JubaSquare's vendor services, you agree to these Vendor Terms.
Vendors must provide accurate and complete information when applying for a JubaSquare vendor account.
JubaSquare may request additional information or documentation to verify the identity, business, products, or authority of a vendor.
Vendors must be legally permitted to sell the products or services they list on JubaSquare.
Vendors are responsible for maintaining the security of their vendor account and login credentials.
Vendors must not allow unauthorized persons to use their account or use another person's vendor account without authorization.
Vendors must keep their business, contact, payment, product, stock, and shipping information accurate and up to date.
Vendors are responsible for all information submitted for their products and services, including product names, descriptions, photographs, specifications, condition, availability, pricing, and other listing information.
Product listings must accurately represent the actual product or service that the customer will receive.
Vendors must not knowingly provide false, misleading, incomplete, or deceptive information.
Vendors are responsible for ensuring that products listed on JubaSquare are genuine, safe, lawful, and suitable for sale.
Vendors must not list counterfeit, stolen, illegally obtained, expired, fraudulent, unsafe, or otherwise prohibited products.
Where a product is used, refurbished, damaged, open-box, repaired, or otherwise not new, its condition must be clearly stated in the listing.
Vendors must make reasonable efforts to keep stock and product availability information accurate.
If a product becomes unavailable after an order is placed, the vendor must notify JubaSquare as soon as reasonably possible.
Repeated cancellations caused by inaccurate stock information may result in restrictions on the vendor account.
When an order is received, the vendor must review the order and confirm availability and fulfillment before proceeding.
The vendor must fulfill the exact product ordered by the customer and must not substitute another product without appropriate approval.
Vendors must not cancel confirmed orders without a valid reason.
JubaSquare operates on a prepaid order model unless another payment method is expressly offered for a particular transaction.
Customers are required to complete payment before an order proceeds to fulfillment.
Vendors must not request additional payment directly from a customer for an order unless JubaSquare expressly authorizes the additional payment.
Vendors may fulfill orders from South Sudan or from other countries and locations approved by JubaSquare.
Where a vendor ships a product to South Sudan, the vendor is responsible for arranging transportation through an appropriate transport or courier service to the designated JubaSquare receiving hub in Juba, unless another arrangement has been agreed with JubaSquare.
Vendors are responsible for properly preparing and packaging products for transportation and for providing accurate shipment information.
Vendors must select transportation methods that are appropriate and legally permitted for the products being shipped.
An order may be marked Shipped once the vendor has handed the product to the agreed transport or courier provider and the product has left the vendor's dispatch location.
Once the product has been received by JubaSquare in Juba, the order may be updated to Arrived in Juba.
Vendors should provide dispatch or tracking information where such information is available.
Where JubaSquare is responsible for receiving the product, the product will be delivered to the designated JubaSquare receiving hub or another approved receiving location in Juba.
JubaSquare may receive and hold the product until the customer collects the order or until final delivery is arranged.
JubaSquare may arrange final delivery to the customer's provided location or make the order available for customer pickup.
Vendors should not independently arrange direct customer delivery or collection for a JubaSquare-managed order unless otherwise agreed.
Vendors shipping products from outside South Sudan are responsible for complying with applicable laws, customs requirements, import and export requirements, permits, licenses, product regulations, packaging requirements, and transportation rules applicable to the shipment.
Vendors are responsible for providing accurate information about the country of origin, nature, quantity, value, and other relevant details of products where required for shipping, customs, or regulatory purposes.
JubaSquare may request additional information or documentation relating to the origin, value, legality, authenticity, or transportation of a product.
JubaSquare may reject, delay, restrict, or cancel a shipment where required documentation is missing or where the product cannot legally or safely be transported, imported, stored, or sold.
Certain products may require special permits, licenses, approvals, documentation, packaging, labeling, storage, or transportation arrangements.
Vendors must obtain and maintain all authorizations required to legally sell, ship, import, export, store, or otherwise handle such products.
JubaSquare may require supporting documentation before approving restricted products and may remove any product that presents legal, regulatory, operational, health, safety, or other risks.
Vendors must cooperate with JubaSquare in handling legitimate customer complaints, returns, replacements, exchanges, and refunds.
Where a return or refund is caused by an incorrect, defective, damaged, counterfeit, materially misrepresented, expired, or otherwise non-compliant product, the vendor may be responsible for the applicable refund or related costs.
JubaSquare may review the circumstances of a complaint and determine the appropriate marketplace resolution in accordance with its Refund & Cancellation Policy.
Vendor payments are settled according to the applicable JubaSquare settlement arrangements communicated to the vendor.
JubaSquare may hold or adjust amounts relating to pending refunds, returns, disputes, chargebacks, payment reversals, failed transactions, or other legitimate adjustments.
The vendor is responsible for ensuring that its settlement and payment information is accurate and current.
JubaSquare may apply commissions, service fees, payment-processing charges, transaction charges, or other applicable charges in connection with marketplace services.
Applicable commercial charges will be communicated to the vendor through the applicable vendor agreement, onboarding information, account information, order information, or other appropriate communication.
JubaSquare may update its commercial terms from time to time in accordance with the applicable vendor agreement.
Vendors are responsible for complying with applicable tax, customs, business registration, licensing, employment, product, import, export, and other legal requirements relating to their business and products.
Vendors are responsible for any taxes, duties, licenses, permits, or government charges that legally apply to their business or products, unless otherwise agreed in writing.
Vendors may receive customer information that is reasonably necessary to fulfill an order.
Vendors must use customer information only for legitimate order fulfillment, delivery, customer support, and related marketplace purposes.
Vendors must not sell, rent, misuse, disclose, or independently use customer information for unrelated purposes.
Vendors must not intentionally use customer information obtained through JubaSquare to move marketplace transactions outside JubaSquare in order to avoid applicable marketplace processes, policies, or commercial arrangements.
JubaSquare may investigate activity that appears to circumvent marketplace rules or interfere with the integrity of the platform.
Vendors must cooperate reasonably with JubaSquare when investigating complaints involving their products, orders, shipping, product quality, pricing, returns, refunds, or other marketplace issues.
Vendors should respond to JubaSquare requests within a reasonable period and provide accurate information necessary to resolve customer issues.

Vendors retain responsibility for the content they submit to JubaSquare, including product images, descriptions, logos, trademarks, and other materials.
Vendors grant JubaSquare permission to use submitted product names, descriptions, photographs, logos, trademarks, and other listing content as reasonably necessary to operate, display, promote, and improve the marketplace.
Vendors are responsible for ensuring that submitted content does not infringe the intellectual property, privacy, or other rights of another person or business.
JubaSquare may monitor vendor performance for marketplace quality, including order fulfillment, cancellation rates, product accuracy, customer complaints, returns, refunds, and other relevant service indicators.
Repeated poor performance may result in warnings, listing restrictions, temporary suspension, or termination of the vendor account.
JubaSquare may suspend, restrict, or terminate a vendor account where there is fraud, repeated order failure, counterfeit products, customer abuse, policy violations, unlawful activity, inaccurate information, prohibited products, payment abuse, or other conduct that may harm customers, vendors, or JubaSquare.
JubaSquare may also remove individual product listings without terminating the entire vendor account.
Suspension or termination of a vendor account does not automatically cancel outstanding customer orders.
JubaSquare may determine how existing orders, returns, refunds, products in transit, and outstanding settlements will be handled following suspension or termination.
Vendors operate as independent businesses and are not employees, partners, agents, or joint-venture participants of JubaSquare unless expressly agreed otherwise in writing.
JubaSquare provides marketplace and related services and does not generally take ownership of products merely because those products are listed, shipped, received, or held through the marketplace.
Vendors must not disclose confidential business, customer, transaction, technical, operational, or commercial information obtained through JubaSquare except where disclosure is required for legitimate fulfillment, authorized by JubaSquare, or required by law.
JubaSquare may update these Vendor Terms from time to time to reflect changes in the marketplace, technology, services, business practices, or applicable requirements.
Updated terms will be published or otherwise communicated to vendors with a revised effective date.
Continued use of the JubaSquare vendor platform after updated terms become effective constitutes acceptance of the revised terms, to the extent permitted by applicable law.
